HOW TO STRUCTURE EFFECTIVE GOVERNANCE BASED ON FOUR DISTINCT OWNERSHIP MODELS—AN INTERACTIVE DISCUSSION

Vlad Barbieri

Vlad will explore how using the lens of ownership models can help build effective governance and facilitate the planning for generational transitions. In his work with family owners, Vlad and his colleagues identified four primary "ownership models", which define who can be an owner and the relationship between the owners and the company. The insight gained from those four distinct ownership models has a profound impact on how best to structure the governance for a particular family, especially during a transition period. The session will combine a conceptual overview with an in-depth interactive case discussion.

Empower Beneficiaries to Promote Family Wealth and Harmony

Babetta von Albertini

Being named a trust beneficiary brings the prospect of receiving wealth. Yet, regardless of the accompanying financial benefit, beneficiaries often feel resentment—not at being beneficiaries but lacking control over the trust. While some limitations may have been imposed for good reasons, other restrictions may not be necessary. By including beneficiaries in a trust's governance, one can also improve the long-term financial stewardship. Thus, when designing trusts, practitioners should explore with clients what powers can appropriately be given to beneficiaries. Two case studies will be used to illustrate how a governance mechanism was "negotiated" between a patriarch and his children. Our findings underscore the essential process of obtaining "buy-in" from the next generation.

Family Governance Litigation & Dispute Resolution In the Region—What Worked and Why

Clarissa Oliveira, George Perlman, Juan C. Antúnez, and Evelyn Sheehan (Moderator)

In this session, we will discuss practical approaches to family governance for private clients with interests in Latin America, who may face private and sovereign-driven litigation challenges against individuals or family assets. Proactive measures - such as seeking asset-related litigation “stress tests” to hedge against threats such as intrafamily disputes, commercial litigations brought by private parties and allegations of financial crime - are a crucial step to defending family wealth and business interests. Using recent case studies, the panel will share successful strategies designed for private clients with a diverse set of asset types, holding structures and jurisdictions in which they are held.

ENTRUSTED - HELPING CLIENTS BUILD LEGACIES THAT LAST

David R. York

David is a very experienced trusts and estates attorney. He will share a completely different paradigm for wealth transfer that significantly increases the chances for a successful multi-generational transfer. David will discuss: (i) the importance of capturing and transferring human capital, (ii) how to maximize the benefits of financial wealth transfer, and (iii) what can be done with excess financial resources. He will share the seven disciplines that successful families follow to effectively transfer holistic wealth on a multi-generational basis. David will also talk about how to build and foster family stewards, individuals who are fully invested and completely engaged in something far bigger than themselves.

The Rising Generation’s Perspective: How to Effectively Engage and Partner

Gisela Lowenstein, Cecilia Brandileone, and Maria Pia Leon (Moderator)

The largest transition of family wealth in history has begun but many families have not yet found an effective way to engage and partner with the next generation. Members of the rising generation have different values, needs and perspectives and communicate in ways that are unknown to their parents. Gisela (G3 of the Lowenstein family), Cecilia (G4 of a Brazilian industrial family), and Pia will discuss ways to successfully integrate the values and goals of the rising generation into family governance and wealth planning, including their views on impact investing, ESG and philanthropy.

PLANNING FOR THE LONG TERM: HOW TO BUILD RESILIENT AND EVOLVING FAMILY GOVERNANCE

Dennis Jaffe and Bruno Carvajal

Governance is not an event or a single solution: it is an evolving process whereby the family charts its course to the future and manages internal and external complexity. As the family evolves, they must manage themselves as a family of stakeholders, with non-financial and business goals, and to redefine their enterprise portfolio. We illustrate the evolution of governance across generations by sharing research on 100-year global families, and the experience of one complex family that has overcome many obstacles on their path.
